Terms of Service

Last updated: 21 October 2026

Agreement

These Terms are a binding agreement between ProcDuck and the company that opens an account (the "Customer"). They are accepted by the person who ticks the acceptance box when signing up, when accepting an invitation, or when the platform asks for it, and that person confirms they have authority to bind the Customer.

If you or your company do not agree to these Terms, do not use the service.

Who May Use ProcDuck

ProcDuck is a service for businesses only.

  • Only a company, establishment or other legal entity with a valid commercial registration (or its equivalent outside the Kingdom) may open an account. Individuals may not open an account in their own name or for personal use.
  • The person who opens the account confirms that they are an owner, director or authorised employee of the company, that the company's management has approved its use of ProcDuck, and that they may accept these Terms on its behalf.
  • Every team member who joins an account confirms that the company has authorised them, and uses the service only for that company and its internal business.
  • We may ask for proof, such as a commercial registration, a VAT certificate or a letter from management, and may hold or close an account until we receive it or if the information given is false.

Accounts and Team Members

You must provide accurate registration information and keep your credentials secure. Each sign-in belongs to one person: do not share it. The Customer is responsible for all activity on its account, including the actions of every team member it invites and of every API key, connector or assistant they connect.

Acceptable Use

You agree not to misuse the service. In particular, you may not:

  • reverse-engineer, copy or attempt to discover the source code of the platform;
  • bypass or test its security, authentication, rate limits or plan limits;
  • resell, sublicense or give access to anyone outside the Customer's own team;
  • use the service in a way that harms the platform or other customers;
  • use the service for any purpose that breaks Saudi law or the rules of a procurement portal.

No Data Extraction or Export

The tenders, items, award results, historical prices, supplier and manufacturer information, summaries, analyses and every other content the platform compiles ("Platform Data") are made available for the Customer to use inside ProcDuck when preparing its own bids. Unless these Terms allow it, you may not:

  • extract, copy, download, scrape or harvest Platform Data in bulk or systematically, by any means, including scripts, bots, crawlers, browser extensions, the API, MCP connectors or AI assistants;
  • page through, query or export Platform Data to build, refresh or enrich a database, dataset, price list or service of your own or of anyone else;
  • export, publish, sell, license, share or transfer Platform Data to any third party, including affiliates, partners, customers or competitors;
  • use Platform Data to train or tune machine-learning or AI models;
  • work around page sizes, rate limits, allowances, masked prices or any other measure that limits access to Platform Data.

A file the service produces for you, such as a quotation, a bid file or a list export, may be used only for the Customer's internal business and the bid it was made for. Your own data is not Platform Data: you may export it at any time.

We monitor use for extraction. If an account breaches this section we may slow, limit, suspend or close it without notice and without refund, and we may claim the damages the law allows.

Subscriptions and Billing

Paid plans renew automatically each billing cycle until canceled. You can cancel anytime, and access continues until the end of the paid period. Refunds are issued at our discretion for service outages or billing errors. Prices may change with 30 days' notice.

Your Data

The Customer retains ownership of the data it adds: products, prices, bids, quotations, customers, invoices and notes. You grant us a limited license to host and process this data only as needed to operate the service for you. Tender data shown on the platform is sourced from public government portals.

Our Intellectual Property

The ProcDuck platform, brand and software, and the selection, arrangement and compilation of Platform Data, are owned by us. You may not copy, modify or distribute them without our written permission. The service is licensed, not sold.

Termination

You may close your account anytime. We may suspend or close an account for a material breach of these Terms, including the eligibility and data extraction sections, for non-payment, or where the law requires it. We will give reasonable notice when feasible.

Disclaimer

The service is provided "as is". Tender data is sourced from third parties; we work hard to keep it accurate but don't guarantee completeness or timeliness. Always verify critical details against the original government portal before bidding.

Limitation of Liability

To the fullest extent permitted by law, our total liability for any claim related to the service is limited to the fees you paid to us in the 12 months before the claim. We are not liable for indirect, consequential, or lost-profit damages.

Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Disputes are resolved in the competent courts of Riyadh.

Changes to These Terms

We may update these Terms over time. When we make a material change, we will tell you by email or in the product and ask every user to accept the updated Terms before continuing to use the service.
